Opalstack LLC Terms of Service

1. Definitions

Opalstack, We, Our, Us: Refers to Opalstack LLC, the web and email hosting company providing services outlined in this document.
Customer, You, Your: Refers to the individual or entity entering into this agreement and using the services provided by Opalstack.

By accessing the website at https://opalstack.com and by using services provided by Opalstack LLC, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.
If you do not agree with any of these terms, you are prohibited from using or accessing this site or our services.

Permission is granted to use Opalstack LLC's services for personal or commercial use.
This is the grant of a license, not a transfer of title.

Opalstack offers the following services:

Opalstack is responsible for the operation, monitoring, and maintenance of server hardware, server operating systems, related system services, and the overall hosting infrastructure.
You are responsible for the operating, monitoring, and maintenance of your own websites and related files and data including keeping your website application software updated to minimize security risks.

All hosting plans are automatically recurring monthly or annual subscriptions.
Payments for invoices are due on the issue date of the invoice unless stated otherwise on the invoice.
If an invoice remains unpaid for 15 days past its due date, then your account will be disabled resulting in web services going offline and you will be contacted.
If your account has past-due invoices for 3 consecutive months, then your account will be disabled resulting in web services going offline and you will be contacted.
If your account remains unpaid 15 days after being disabled, then it will be closed and all services, including web, email, and DNS, will go offline and you will be contacted.
If you dispute a payment through a chargeback without first contacting Opalstack for clarification, your account will be immediately disabled and we will contact you. If the chargeback is found to be issued in error, an administrative fee of $25 will be levied to re-establish your service.

All hosting plans have defined quotas for disk storage, RAM usage, and network transfer.
You will be notified if your usage exceeds your quotas.
If your usage remains over your quota for 14 days after the initial notification, then we will automatically upgrade your plan and billing accordingly.

You may cancel your service at any time via your control panel.
Monthly payments are refundable within 30 days of the payment date.
Refunds for annual payments will be prorated to reflect the time used when canceled.

We reserve the right to terminate your service at any time and for any reason, including but not limited to failure to comply with our Terms of Service and Acceptable Use Policy, and non-payment of invoices.
We are not responsible for any data on accounts that have been terminated. Data for terminated accounts will be purged 60 days after termination.

Customers are required to maintain accurate and current contact information, including an externally hosted email address.

We perform daily backups of customer data and retain backups for 12 weeks.
Opalstack is not responsible for the availability, integrity, or completeness of backups.
We recommend that all customers maintain their own offsite backups of critical data that could not otherwise be replaced.

All activities performed by you must comply with our Acceptable Use Policy (AUP) and all applicable laws and regulations.

Materials and services are provided by Opalstack LLC on an 'as is' basis. Opalstack LLC makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
Further, Opalstack LLC does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

In no event shall Opalstack LLC or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Opalstack LLC's website or services, even if Opalstack LLC or an Opalstack LLC authorized representative has been notified orally or in writing of the possibility of such damage.
Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

You agree to indemnify and hold harmless Opalstack LLC from any claims, losses, liabilities, costs, or expenses arising out of your use of the services or violation of these Terms of Service.

The materials appearing on Opalstack LLC's website could include technical, typographical, or photographic errors. Opalstack LLC does not warrant that any of the materials on its website are accurate, complete or current. Opalstack LLC may make changes to the materials contained on its website at any time without notice. However, Opalstack LLC does not make any commitment to update the materials.

Opalstack LLC has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Opalstack LLC of the site. Use of any such linked website is at the user's own risk.

Should Opalstack LLC or our assets be acquired, we will notify users of the service of our intent to sell and disclose the name of the purchaser prior to the closing of the sale.

Opalstack LLC may revise these terms of service at any time. Notifications of significant changes will be communicated to you via the email address registered in your account. By continuing to use this website and our services after changes are made, you are agreeing to be bound by the then current version of these terms of service.

These terms and conditions are governed by and construed in accordance with the laws of the State of Wyoming and you irrevocably submit to the exclusive jurisdiction of the courts in that State.
